Terms of Service

1. Service Description & Changes

Our Service: Synapdeck provides a spaced repetition learning platform that allows users to create, share, and study educational content through flashcards and other learning materials.

Service Modifications: We reserve the right to modify, suspend, or discontinue any aspect of our service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the service.

Terms Updates: We may update these Terms of Service from time to time. Material changes will be communicated through email or prominent notice on our platform at least 30 days before taking effect. Continued use of the service after changes become effective constitutes acceptance of the updated terms.

Alpha Testing: During our alpha testing period, the service is provided on an experimental basis. Features may be unstable, incomplete, or subject to frequent changes. Alpha testers who meet our eligibility criteria will receive lifetime free access to features and usage limits that are at least equivalent to our lowest paid tier once we launch our subscription model, and may include additional benefits at our discretion.

2. Account Terms

Eligibility: You must be at least 13 years old to use our service. By creating an account, you represent that you meet this age requirement and have the legal capacity to enter into these terms.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

Account Information: You agree to provide accurate, current, and complete information when creating your account and to update this information as necessary to maintain its accuracy.

Account Suspension & Termination: We may suspend or terminate your account at any time for violation of these terms, illegal activity, or other conduct that we determine to be harmful to our service or other users. You may terminate your account at any time through your account settings.

Effect of Termination: Upon termination, your right to use the service ceases immediately. We may delete your account and associated data in accordance with our Privacy Policy, except for content that has been shared with other users as described in our Privacy Policy.

3. User Content & License

Your Content: You retain ownership of all content you create, upload, or share through our service, including decks, notes, flashcards, and other educational materials.

License to Us: By uploading content to our service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, prepare derivative works of, display, and perform your content in connection with providing and improving our service. This license continues even if you stop using our service for content that has been shared with other users.

Content Responsibility: You are solely responsible for your content and must ensure you have all necessary rights to share it. You represent that your content does not violate these terms, infringe on third-party rights, or violate applicable laws.

Shared Content: When you share content with other users, you understand that such content may remain accessible to those users even after you delete your account, as described in our Privacy Policy.

Our Right to Remove Content: We reserve the right to remove any content that violates these terms, infringes on third-party rights, or is otherwise objectionable, though we have no obligation to monitor or review user content.

4. Acceptable Use

You agree not to use our service to:

Illegal Activity: Engage in any unlawful activity or violate any applicable laws or regulations.

Intellectual Property Infringement: Upload, share, or distribute content that infringes on copyrights, trademarks, or other intellectual property rights of third parties.

Harmful Content: Post content that is harassing, threatening, defamatory, or otherwise harmful to other users.

Spam & Malware: Distribute spam, malware, viruses, or other harmful code, or use our service for unsolicited commercial communications.

Platform Integrity: Attempt to gain unauthorized access to our systems, interfere with our service operations, or circumvent security measures.

Impersonation: Impersonate other users, organizations, or entities, or misrepresent your affiliation with any person or entity.

We reserve the right to investigate violations of these terms and take appropriate action, including account suspension or termination and cooperation with law enforcement.

5. Intellectual Property

Our IP: Our service, including its design, functionality, trademarks, and underlying technology, is owned by us and protected by intellectual property laws. You may not copy, modify, or create derivative works of our service without our written permission.

DMCA Takedown Process: We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe content on our platform infringes your copyright, you may submit a takedown notice to legal@synapdeck.com with:

  • Your contact information
  • Identification of the copyrighted work claimed to be infringed
  • Identification of the infringing material and its location on our service
  • A statement of good faith belief that the use is not authorized
  • A statement that the information is accurate and you are authorized to act on behalf of the copyright owner
  • Your physical or electronic signature

Counter-Notification: If your content is removed due to a DMCA notice, you may submit a counter-notification if you believe the removal was in error.

Repeat Infringer Policy: We will terminate accounts of users who are repeat copyright infringers in appropriate circumstances.

6. Data Handling

Account Data: Upon account deletion, we will delete your personal information within 30 days, except as required by law or for content shared with other users.

Backup Retention: Deleted data may persist in backups for up to 90 days before permanent deletion.

Shared Content: Content you’ve shared with other users may remain accessible to those users after account deletion.

7. Disclaimers & Liability

Service “As-Is”: Our service is provided “as-is” and “as-available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Educational Content Disclaimer: Our platform is a tool for creating and sharing educational content. We do not endorse, verify, or guarantee the accuracy, completeness, or quality of user-generated educational materials.

No Guarantee of Availability: We do not guarantee that our service will be uninterrupted, secure, or error-free. We may experience downtime for maintenance, updates, or technical issues.

Limitation of Liability: To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising from your use of our service.

Liability Cap: Our total liability to you for all claims arising from or related to these terms or our service shall not exceed the amount you have paid us in the twelve months preceding the claim, or $100, whichever is greater.

Indemnification: You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of our service, your content, or your violation of these terms.

8. Dispute Resolution

Governing Law: These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Jurisdiction: Any legal action or proceeding arising from or related to these terms or our service shall be brought exclusively in the state or federal courts located in Delaware. You consent to the jurisdiction of these courts and waive any objection to venue.

Mediation: Before filing any legal action, you agree to first attempt to resolve disputes by contacting us at legal@synapdeck.com and providing a detailed description of the dispute. We will attempt to resolve the matter within 30 days. If direct resolution fails, parties agree to attempt mediation through a mutually agreed mediator, with costs split equally. If mediation fails after 60 days, either party may proceed to court.

Limitation Period: Any claim or cause of action arising from or related to these terms or our service must be filed within one year after the claim or cause of action arose, or it will be forever barred.

9. Termination

Your Right to Terminate: You may terminate your account at any time by following the account deletion process in your account settings or by contacting us.

Our Right to Terminate: We may suspend or terminate your account and access to our service at any time, with or without cause, and with or without notice, though we will generally provide notice when reasonable.

Effect of Termination: Upon termination:

  • Your right to access and use our service ends immediately
  • We may delete your account and personal data as described in our Privacy Policy
  • Content you have shared with other users may remain accessible to those users
  • Provisions of these terms that by their nature should survive termination will continue to apply

No Refunds: Termination does not entitle you to any refund of fees paid, except as may be required by applicable law.

10. General Provisions

Entire Agreement: These terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of our service.

Severability: If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver: Our failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision.

Assignment: You may not assign or transfer these terms or your account without our written consent. We may assign these terms and our rights and obligations to any third party.

Force Majeure: We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, acts of government, labor disputes, or technical failures.
